Acceptance of Terms

By accessing or using The Cubator Software™ ("the Platform"), operated by Monét Obree Holdings LLC ("Company", "we", "us", or "our"), you ("Member", "you", or "your") agree to be bound by these Terms of Service. If you do not agree to these Terms in their entirety, you may not access or use the Platform.

These Terms apply to all users of the Platform, including members of The Obree Collective™ and any subscriber to any tier of The Cubator Software™. We reserve the right to update these Terms at any time. Continued use of the Platform following notice of changes constitutes acceptance of the updated Terms.

Description of Services

The Cubator Software™ is a digital incubator platform built exclusively for beauty and wellness professionals. Services include but are not limited to:

• Access to the Platform and its operational infrastructure
• Membership in The Obree Collective™ (where included in subscription tier)
• Access to the E.A.S.E.™ curriculum (where included in subscription tier)
• Access to the R.I.S.E.™ framework (where included in subscription tier)
• Access to Veronica, the Platform's business intelligence layer
• Dedicated manager services (where applicable — post-curriculum Accelerator tier only)
• Any additional features, tools, or content made available through the Platform

The Company reserves the right to modify, suspend, or discontinue any feature or service at any time with reasonable notice to active subscribers.

Subscription Plans and Billing

Subscription Tiers

The Cubator Software™ offers three subscription tiers — Essential ($97/month), Pro ($197/month), and Suite ($297/month). Annual plans are available at 2 months free: Essential $970/year, Pro $1,970/year, Suite $2,970/year. The features available to you depend on your selected tier. Current tier details are available on the Platform's pricing page.

Billing

Subscriptions are billed on a recurring monthly basis unless otherwise stated. By subscribing, you authorize the Company to charge your payment method on file at the start of each billing cycle.

Price Changes

The Company reserves the right to adjust subscription pricing with a minimum of 30 days notice. Continued use of the Platform after the effective date of a price change constitutes acceptance of the new pricing.

Refunds

All subscription fees are non-refundable unless otherwise required by applicable law. If you cancel, you retain access through the end of your current billing period.

The Cubator Accelerator™

The Cubator Accelerator™ is a post-curriculum, dedicated manager service available exclusively to members who have completed all 16 modules of the E.A.S.E.™ curriculum. It is a bespoke service — pricing is scoped to each member's business and presented at a consultation upon curriculum completion. Accelerator engagements are governed by a separate service agreement provided at the time of consultation.

Member Responsibilities

As a member, you agree to:

• Provide accurate and complete information during registration and maintain its accuracy
• Maintain the security and confidentiality of your account credentials
• Use the Platform solely for lawful purposes and in accordance with these Terms
• Not share, sell, or transfer your account access to any third party
• Not reproduce, duplicate, copy, or exploit any portion of the Platform without express written permission
• Not use the Platform in any manner that is harmful, fraudulent, deceptive, or otherwise objectionable
• Not attempt to reverse engineer or access the underlying infrastructure of the Platform

Intellectual Property

All content on the Platform — including the E.A.S.E.™ framework, R.I.S.E.™ framework, The Cubator Accelerator™, curriculum modules, brand assets, copy, system architectures, agent names, and framework names — is the exclusive intellectual property of Monét Obree Holdings LLC and is protected by applicable copyright, trademark, and intellectual property laws.

Curriculum content accessed through The Obree Collective™ is licensed to you for personal, non-commercial use only. You may not reproduce, distribute, or share curriculum content with any third party without express written consent from the Company.

Disclaimer of Warranties

The Platform is provided on an "as is" and "as available" basis without warranties of any kind, either express or implied. The Company does not warrant that the Platform will be uninterrupted, error-free, or free of harmful components. The Company makes no warranties regarding the accuracy, completeness, or reliability of any content available through the Platform. The Company does not guarantee specific business outcomes or results from use of the Platform, its curriculum, or any of its frameworks.

Limitation of Liability

To the fullest extent permitted by applicable law, Monét Obree Holdings LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Platform. The Company's total liability to you for any claim shall not exceed the total subscription fees paid by you in the three months preceding the claim.

Termination

By You

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of your current billing period.

By the Company

The Company reserves the right to suspend or terminate your account at any time, with or without notice, if you violate these Terms or engage in conduct determined to be harmful to the Platform, other members, or the Company.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Ohio. Any disputes arising under these Terms shall be resolved through binding arbitration in Columbus, Ohio, unless otherwise required by applicable law.
